These Terms govern access to:
- CMP (White-Label & Reseller)
- CMP Retail (B2B)
- Esimora (B2C App/Web)
- All associated websites, APIs, WL tenants, and services
By accessing our services, users agree to these Terms.
2. Definitions
- "Devotel" – The service provider.
- "WL Tenant" – A business using CMP WL or Esimora WL under their own brand.
- "Retail Partner" – An agency or tour operator using CMP Retail.
- "End User" – A consumer using an eSIM purchased via Retail or Esimora.
- "Provider" – eSIM suppliers.
- "Activation" – Provisioning of an eSIM profile via CMP backbone.
- "Add-on / Top-up" – Additional data aligned to base expiry.
3. Use of Service
3.1 Eligibility
You must be:
- At least 18 years old
- Authorized by your company (for WL/Reseller access)
3.2 Acceptable Use
Users must not:
- Attempt to manipulate provider routing, provisioning, or pricing
- Abuse the referral/payout system
- Reverse engineer CMP APIs
- Use services for unlawful purposes (spam, fraud, illegal data transfers)
Violation may lead to suspension.
4. eSIM Services
4.1 Activation & Failover
CMP selects providers automatically and may trigger failover if activation fails.
Success depends on device compatibility, region restrictions, and user installation steps.
4.2 Refund Policy
Refunds are only applicable if:
- The eSIM was not installed, and
- The eSIM was not delivered (QR or SM-DP+ confirmed)
Refunds are not provided after profile download or active usage.
4.3 Usage & Fair Use
Users agree to:
- Use eSIMs for legitimate connectivity
- Comply with local telecom regulations
- Avoid network abuse (hotspot farms, spamming, excessive signaling)
5. White-Label & Reseller Terms
5.1 Branding & Catalog
WL tenants may customize:
- Domain
- Logo and theme
- Visible plan catalog (no plan authoring for Retail WL)
WL partners are responsible for:
- Keeping their storefront compliant
- Providing accurate business information
WL automation and domain application occur via CMP infrastructure.
5.2 Payouts & Commission
Retail referral: 10% lifetime commission, monthly payouts (≥ €30; ≥ 3 active referees).
Partners are paid monthly according to settlement reports.
Devotel may delay payouts due to suspected fraud.
6. Billing, Payments & Taxes
6.1 Payment Terms
Prices are listed in EUR unless otherwise stated.
VAT applies according to user jurisdiction (EU/UK rules).
FX conversion is handled by the payment gateway for Esimora and Retail.
6.2 Invoicing
CMP WL tenants receive automated monthly invoices and payout reports.
7. Service Availability & Maintenance
We target:
- 99.9% uptime across CMP and WL tenants
We may perform scheduled maintenance, affecting:
- Activation
- Top-ups
- Billing
- API access
Users will be notified via email or dashboard.
8. Support
Channels:
- Email-based support (standard for Esimora, Retail, WL tenants)
- SLA varies by subscription tier
We do not provide phone support unless contractually agreed.
9. Intellectual Property
All CMP components, provider adapters, orchestration logic, WL automation, analytics, and documentation remain the property of Devotel.
WL tenants own:
- Their branding assets
- Their customer relationships
But NOT:
- The CMP platform
- Provider integrations
- Activation engine
- Routing logic
- Plan catalog structure
10. Termination
Devotel may terminate or suspend access if:
- Terms are violated
- Fraud is detected
- Fees are unpaid
- Law enforcement requests compliance
Upon termination, tenant data is exported per GDPR requirements.
11. Limitation of Liability
Devotel is not liable for:
- Connectivity issues caused by mobile operators
- User installation errors
- Travel disruptions or roaming restrictions
- Indirect damages, lost profits, or consequential losses
Our liability is capped at the total fees paid in the last 12 months.
12. Governing Law
This Agreement is governed by:
- EU/UK GDPR for data protection
- Delaware (USA) commercial law for contractual disputes

We may update these Terms and will notify users through email or dashboard alerts.
